Payment Processing Agreement
The Payment Processing Agreement governs how you (the “Merchant” may use the services provided (the "Service") by Cheque AB (the "Platform"). The Service includes the Platform’s core services offering as well as embedded payments processing services, which includes credit card, debit card, ACH, and other payment processing services, as may be offered from time-to-time (collectively the "Processing Services").
By accessing or using the Service, you agree to be bound by this Payment Processing Agreement. If you do not agree, please refrain from using the Service.
Eligibility to Use the Service
By using this Service, the Merchant represents and warrants that: anyone using the Service on behalf the Merchant is at least 18 years old. Only people who have authority to act on behalf of the Merchant have access to the Service. Only people who have permission to create invoices on behalf of the Merchant and to bind the Merchant to any payment obligations related to the invoices generated through our Service have access to the Service. Important: The Merchant acknowledges that it is solely responsible for ensuring the accuracy of all information provided on behalf of the Merchant, including the validity of the Merchant’s details and your authorization to generate invoices.
User Responsibilities
Merchant agrees to: Provide true, current, and complete information as prompted by the Service. Update the Merchant’s information as necessary to maintain its accuracy. Only use the Service for lawful purposes, in compliance with all applicable laws and regulations. Immediately notify the Platform if there is any unauthorized use of the Merchants account. Notice: The Merchant assumes full responsibility for all invoices created through its account, including but not limited to the authenticity, accuracy, and compliance of such invoices with applicable laws.
Account Security
The Merchant is responsible for maintaining the confidentiality of your account information, including your login credentials, and for all activity that occurs under your account. We are not liable for any loss or damage arising from unauthorized access to your account.
Processing Services
In addition to its core services offering (the “Service”), Platform offers embedded payments processing services, which includes credit card, debit card, ACH, and other payment processing services, as may be offered from time-to-time (collectively the "Processing Services").
Fees and Taxes
Related to the Processing Services, Platform will charge Merchant according to the fees listed below ("Processing Fees"). All Processing Fees payable under this agreement are exclusive of taxes.

If you, the Merchant, have an alternative pricing agreement with the Platform, please refer to this agreement for official pricing.
Fair use policy
Platform may increase the Card Transaction Volume Fee or Transaction Per Item Fee if Merchant's (a) American Express credit card payment dollar volume exceeds twenty percent (20%); (b) corporate credit card payment volume exceeds ten percent (10%) of total monthly credit card payments; or (c) credit card payments for transaction amounts greater than one thousand dollars ($1,000.00) exceeds three percent (3%) of total monthly credit card payments. Such increases shall become effective only after Platform has provided Merchant written notice setting forth the changes.
Processing Terms and Conditions
By using the Processing Services, Merchant agrees to the Processing Terms and Conditions available at https://legal.rainforestpay.com/processingterms, which may be amended at any time on notice.
Limitations of Liability
The Platform is not responsible for: Any inaccuracies in the invoices generated through the Service. Any legal, financial, or regulatory implications associated with the invoices the Merchant creates. Any third-party claims related to the Merchant’s use of the Service. To the fullest extent permitted by law, the Platform’s liability to the Merchant will be limited to the fees, if any, paid for using the Service in the 12 months preceding the event giving rise to the claim.
Indemnification
The Merchant agrees to indemnify, defend, and hold harmless the Platform, its officers, directors, employees, and agents, from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to: the Merchant’s use of the Service. Any inaccuracies or misrepresentations made by anyone acting on behalf of the Merchant. Any breach of this Payment Processing Agreement.
Termination
The Platform reserves the right to suspend or terminate your access to the Service at any time, without notice, if we suspect any unauthorized or fraudulent use of the Service or any violation of this Payment Processing Agreement.
Changes to the Payment Processing Agreement
We may revise this Payment Processing Agreement at any time. Changes will be posted on this page, and your continued use of the Service after such changes constitutes acceptance of the new Payment Processing Agreement.
Governing Law
These Terms are governed by and construed in accordance with the laws of Sweden. You agree to submit to the exclusive jurisdiction of the courts located within Sweden to resolve any legal matters arising from these Terms.
Acceptance of Terms
By accessing and using our Service, you acknowledge that you have read, understood, and agree to be bound by this Payment Processing Agreement.
